What gets extracted
A ground lease runs 50 to 99 years and gets amended across decades, so the answer to what the rent is and whether a lender can foreclose usually sits in three different documents. One missed reset clause changes the valuation of the leasehold, and one missing mortgagee protection can kill a loan at committee.
What a ground lease abstract has to capture
The fields that matter in a ground lease are different from a space lease. Nobody underwriting a 99 year land lease cares much about the CAM cap. They care about how many years are left, how the rent can move, and whether a leasehold lender is protected if the tenant defaults. A standard office abstract template misses most of that, which is why ground lease abstracts are ordered separately and usually by lawyers.

Ground rent resets and reappraisal clauses
The rent reset is the single clause that most changes what a ground leasehold is worth, and it is the one most often summarized badly. Older ground leases commonly fix rent for a period and then reset it to a percentage of the land value on a stated date. The wording of the valuation basis decides the outcome.
Take a lease that resets rent to 6% of land value. If the clause says unencumbered land value, the appraiser values the land as if vacant and available for its highest and best use, so a site now worth $12 million produces $720,000 a year. If the clause says the land is valued encumbered by the lease, the appraiser has to account for the existing lease and its remaining term, which usually produces a lower figure. Same lease, same land, very different rent, and the difference is one adjective buried in an exhibit.
The abstract should record the reset dates, the percentage or formula, the valuation basis, any floor or cap against the prior rent, who picks the appraisers, and the deadline for the appraisal process. Fixed step increases and CPI adjustments get their own rows, as they do in our rent escalation extraction, because a lease can carry both a CPI bump every five years and a full reappraisal every twenty-five.
Is the ground lease financeable? The leasehold mortgagee checklist
A ground lease is financeable when a leasehold lender can protect its collateral without the landowner's cooperation. In practice that means a short list of provisions, and a lender's counsel reads for each one before a loan goes to committee.
- Remaining term against loan maturity. The unexpired term has to run well past the loan. Fannie Mae's Selling Guide, for residential leaseholds, requires an unexpired term that exceeds the loan maturity by at least five years. Commercial lenders apply their own minimums, so put the remaining term and the maturity you are underwriting side by side.
- Notice and cure. The landowner must send default notices to the lender and give it time to cure, including extra time to take possession where a default can only be cured that way.
- New lease on termination. If the lease ends through rejection in bankruptcy or an incurable default, the lender can take a new lease on the same terms.
- No amendment or surrender without lender consent. Otherwise the tenant and landowner can change the collateral under the lender.
- Transfer on foreclosure. Assignment to the lender or a foreclosure buyer without landowner consent.
- Insurance and condemnation proceeds. Paid in a way that protects the lender's share, not straight to the landowner.
- Landowner estoppel. An obligation to deliver an estoppel certificate on request, as covered in our estoppel certificate guide.
- Landowner options subordinated. Any purchase right or ROFR in favor of the landowner should not apply to a foreclosure or a deed in lieu.

Subordinated vs unsubordinated ground leases
In an unsubordinated ground lease the landowner's fee stays ahead of any leasehold mortgage. In a subordinated one the landowner agrees to put the fee behind the lender, so a foreclosure can reach the land itself. Subordinated ground leases are rarer and usually carry a higher rent, because the landowner is taking real credit risk.
The distinction drives how a lender sizes the loan and how an acquirer prices the leasehold, and it is easy to get wrong from a quick read, because many leases subordinate only to a first construction loan, or only up to a stated amount, or only until a date. The abstract should record whether the fee is subordinated, to what, for how much and for how long, next to the SNDA and subordination terms that apply to any space subleases on the site.
Reversion, improvements and end of term
Most ground leases hand the building to the landowner at expiry, and some require the tenant to demolish it instead. Which one applies, and whether the landowner can choose, belongs at the top of the abstract, because it decides the residual value of the leasehold in every model that runs past year 30.
Record title to improvements during the term, the reversion or removal obligation at expiry, any obligation to restore the site, the condition standard at surrender, and whether the tenant gets any payment for the improvements. With 40 years left the answer barely moves a valuation. With 15 years left it can decide whether a hotel or apartment owner can refinance at all.
Ground lease accounting under ASC 842
Most pure ground leases are operating leases for the tenant under ASC 842, unless title transfers, a purchase option is reasonably certain of exercise, or the present value of payments reaches substantially all of the land's fair value. Land has an indefinite economic life, so the major-part-of-economic-life test does not pull a land lease into finance classification the way it can for equipment.
The harder inputs are the term and the discount rate. A 99 year term needs a judgment on which extension options are reasonably certain, and an incremental borrowing rate for a term far longer than any debt the company has issued. Rent resets tied to a future appraisal are variable payments and stay out of the liability until they occur, while fixed bumps go in. Ground lease abstract software or a law firm abstract?
Use a lawyer for the legal opinion and software for the data. A real estate attorney reviewing financeability is worth paying for on a loan or acquisition. Paying the same hourly rate for someone to type the commencement date, the rent table and the reset schedule into a template is not, and on a portfolio of ground leases that typing is most of the bill.
